Terms of Service

1. Acceptance
By accessing or using CodeCudos (“Platform”) you agree to be bound by these Terms of Service (“Terms”). If you do not agree, you must stop using the Platform immediately. These Terms constitute a legally binding agreement between you and CodeCudos.
2. Accounts
You must provide accurate, complete, and current information when creating an account. You are solely responsible for all activity that occurs under your account and for maintaining the confidentiality of your credentials. Notify us immediately at [email protected] if you suspect unauthorised access.
We reserve the right to suspend or terminate accounts that violate these Terms, provide false information, or engage in fraudulent or abusive behaviour.
3. Purchases & Refunds
All sales are processed through Stripe. By completing a purchase you agree to Stripe’s terms of service. Prices are displayed in USD.
You may request a full refund within 14 days of purchase if the product materially fails to match its description or contains critical, non-disclosed bugs. Refund requests are reviewed within 1–3 business days. Refunds are not granted for change-of-mind, partial use, or incompatibility with your environment where the listing accurately stated requirements.
4. Seller Obligations
Sellers receive 90% of each completed sale; CodeCudos retains a 10% platform fee. Payouts are issued manually via PayPal or bank transfer upon seller request. Sellers are responsible for reporting and paying any applicable taxes on their earnings.
Sellers must respond to buyer refund requests within 7 days. Failure to respond will result in automatic refund approval in favour of the buyer.
5. Vibe Code Policy
Listings marked as “Vibe Coded” (built with AI assistance) are subject to additional requirements:
- Sellers must test the code and confirm it is error-free before listing
- Sellers must attest that the code functions as described in the listing
- CodeCudos is not responsible for AI-generated code quality; sellers bear full responsibility
- Misrepresenting untested AI-generated code as tested may result in account suspension and reversal of payouts
6. Prohibited Content
You may not list, upload, or distribute:
- Malicious code, ransomware, spyware, or software designed to harm users or systems
- Code you do not own or lack the right to sell (including plagiarised or pirated code)
- Content that infringes any third-party intellectual property right
- Content that violates applicable local, national, or international laws
- Deceptive, misleading, or fraudulent listings
Violations may result in immediate removal of content and permanent account termination.
7. Intellectual Property & License Grant
Sellers retain full ownership of their code. By listing on CodeCudos, sellers represent they hold all necessary rights to sell and license the listed code.
Buyers receive a perpetual, non-exclusive, worldwide, royalty-free license to use the purchased code in their own projects (commercial or personal). Buyers may not resell, sublicense, redistribute, or re-list the code on any marketplace without the seller’s explicit written permission.
The CodeCudos name, logo, and platform UI are the exclusive property of CodeCudos and may not be used without prior written consent.
8. DMCA & Copyright Claims
If you believe content on CodeCudos infringes your copyright, send a takedown notice to [email protected] including: (a) identification of the copyrighted work; (b) identification of the infringing material and its URL; (c) your contact information; (d) a good-faith statement; and (e) a statement of accuracy under penalty of perjury.
We will respond to valid notices promptly. Counter-notices may be submitted to the same address.
9. Dispute Resolution
Buyer–seller disputes should first be resolved directly. If unresolved after 7 days, either party may escalate to CodeCudos at [email protected]. CodeCudos reserves the right to make a final determination on refunds at its sole discretion.
Disputes between you and CodeCudos that cannot be resolved informally shall be submitted to binding arbitration under AAA rules, except either party may seek injunctive relief in a court of competent jurisdiction.
10. Governing Law
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles. You consent to the exclusive jurisdiction of courts in Delaware for matters not subject to arbitration.
11. Seller Warranties
By publishing a listing, sellers warrant that: (a) they are the original author or hold full rights to sell the code; (b) the code contains no malware or intentionally harmful components; (c) the description accurately represents functionality and requirements; and (d) the sale does not violate any third-party rights or applicable laws.
Breach of these warranties may result in account termination, reversal of payouts, and legal liability.
12. Limitation of Liability
CodeCudos is provided “as-is” without any warranty. To the maximum extent permitted by law, CodeCudos shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the platform or code purchased through it. Our aggregate liability shall not exceed fees paid by you to CodeCudos in the 12 months preceding the claim.
13. Changes to Terms
We may update these Terms from time to time. We will notify registered users by email and update the date above. Continued use after changes take effect constitutes acceptance of the revised Terms.
